1. Introduction & Agreement to Terms

These Terms of Service (“Terms”) govern your use of products and services provided by Eablenex, including our portable GoShare battery rental services, facilitator programme, lease-to-own services, and related offerings. By ordering or using our products and services, you agree to abide by these Terms. If you disagree, please do not access our products or services.

We reserve the right to amend these Terms at any time by updating this document. Changes become effective immediately upon publication.

2. Definitions

  • “Eablenex,” “we,” “our,” “us”: refers to Eablenex, providers of portable battery technology solutions.
  • “You,” “Customer,” “User”: refers to the individual or entity using our products or services.
  • “Products”: portable GoShare battery technology rented or leased by Eablenex.
  • “Services”: all offerings provided by Eablenex, including rentals, facilitator programmes, and support services.
  • “Rental Period”: agreed timeframe for the rental of GoShare battery technology products.
  • “Facilitator Network”: authorised individuals or organisations approved to manage or distribute Eablenex battery services in specific regions.

3. Description of Service

Eablenex provides portable battery storage systems designed to power businesses and communities. Our solutions are part of a shared economy model, enabling customers to access renewable energy sources. We operate exclusively within Nigeria, promoting sustainability and energy accessibility.

Our services include direct rentals, lease-to-own options, and a facilitator network enabling broader community distribution.

4. Account Registration

To access our services, you must register an account on our website or app. You agree to provide accurate and updated information. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Notify us immediately of any unauthorised access or security breaches.

Eablenex is not liable for any loss arising from failure to secure your account credentials.

5. Order Process & Contract Formation

Orders can be placed via our app or website (www.eablenex.com). Once submitted, you will receive an SMS or email confirmation. The acceptance of your order via SMS or email constitutes a binding contract between you and Eablenex.

We reserve the right to decline orders based on product availability, inaccurate pricing, or suspected misuse.

6. User Responsibilities

As a user, you agree to:

  • Use products only according to provided instructions and safety guidelines.
  • Ensure safe and secure use and storage of products during the rental period.
  • Avoid exposing products to damaging conditions (water, extreme temperatures, improper handling).
  • Maintain the products in good condition and report any damage or malfunctions immediately to us.

You bear financial responsibility for loss or damage resulting from negligence or misuse.

7. Rental Service Terms

Rental Process

  • Rentals commence upon confirmed receipt of products and continue for the agreed rental period.
  • Extensions are subject to availability and additional fees.

Return Failure Penalties

  • Late returns incur daily penalties.
  • Products not returned within a stipulated time frame are considered lost, incurring full replacement charges.

Lease-to-own

  • Customers may opt for lease-to-own arrangements, converting rentals into ownership after meeting specified payment terms.
  • Specific terms and conditions will be clearly outlined during lease initiation.

Delivery, Return & Inspection

  • Upon delivery, inspect the product and report any visible defects immediately within 24 hours.
  • Use the provided prepaid shipping label for returns.
  • Late returns or failure to return products will result in penalty fees.

8. Facilitator Network & Fleet Operations

Our facilitator programme enables selected individuals and businesses to distribute and manage our battery solutions within their communities.

Facilitators must adhere to separate operational guidelines, code of conduct and standards provided upon programme approval, including GoShare battery fleet management, customer engagement, and service maintenance.

Facilitators are responsible for compliance with these Terms, ensuring that end-users within their network also comply fully.

9. Business Warranty & Insurance Requirements

Business customers must:

  • Maintain valid commercial liability insurance covering the full replacement value of rented or leased batteries.
  • Provide proof of insurance prior to product dispatch.

Eablenex does not provide insurance coverage for rented equipment and is not liable for business client losses due to inadequate insurance coverage.

10. Warranties & Exclusions

Warranty Coverage

We warrant that:

  • Products will function as advertised throughout the agreed rental period.
  • Defective products due to manufacturer faults will be replaced free of charge within the first six months.
  • Extended warranties are provided to business customers (up to 12 months).

Exclusions

The warranty does not cover:

  • Damage from negligence, misuse, improper charging, overheating, water damage, or unauthorised modifications.
  • Normal performance degradation beyond standard usage expectations.

Users must adhere strictly to usage guidelines to maintain warranty eligibility.

11. Billing, Payments & Late Fees

  • Payments must be completed before the rental or lease period begins.
  • Accepted payment methods include credit/debit cards, PayPal, or other listed payment gateways on our website.
  • Recurring charges, if applicable, will be processed on their due dates.

Late return fees are charged daily following the expiry of the rental period. Failure to pay invoices within 30 days may result in suspension of services, involvement of third-party collection agencies, and possible legal actions.

12. Third-Party Services

Eablenex may engage third-party vendors, logistics providers, and payment processors to facilitate our services. You acknowledge:

  • We are not liable for delays, failures, or disruptions caused by third-party providers.
  • Disputes related to third-party services must be addressed directly with the respective third-party.
  • Payments through third-party systems are subject to their respective terms and conditions.

13. Customer Conduct & Prohibited Use

Customers and users of Eablenex products/services must not:

  • Engage in any unlawful, harmful, discriminatory, or unethical conduct.
  • Use our products for purposes not intended or permitted, including any form of fraud, harassment, spamming, copyright infringement, or unauthorised access.
  • Misrepresent affiliation or impersonate Eablenex, misuse branding, or use our products in connection with illegal or prohibited activities such as terrorism, arms trafficking, or money laundering.

Violation of these rules may result in immediate termination of services, legal actions, or reporting to authorities.

14. Environmental Compliance & Battery Disposal

Eablenex is committed to sustainability and environmentally responsible disposal practices:

  • Customers must return expired or damaged batteries to authorised drop-off points for safe recycling.
  • Batteries must never be disposed of in regular waste streams due to environmental hazards.
  • Non-compliance with local disposal laws can result in penalties, fines, or suspension of further service access.

15. Termination (Including Insolvency)

Eablenex may terminate your access to products or services immediately, without prior notice, if you:

  • Breach these Terms.
  • Fail to pay amounts due within 30 days.
  • Enter into bankruptcy, financial insolvency, or substantial financial restructuring that jeopardises our commercial interests.

Upon termination, all products must be returned immediately at your expense.

16. Indemnification (Including Third-Party Liability)

You agree to indemnify, defend, and hold harmless Eablenex, its affiliates, directors, employees, and agents against any third-party claims, damages, liabilities, costs, or losses arising from:

  • Your misuse or negligent handling of our products.
  • Breach of these Terms or any violation of applicable laws.
  • Third-party claims related to product usage, excluding manufacturing defects covered by warranty.

This indemnification clause survives the termination of your agreement with Eablenex.

17. Dispute Resolution & Arbitration Clause

In the event of disputes:

  • Parties shall initially seek informal resolution through negotiation within 30 days of dispute notification.
  • Unresolved disputes may progress to mediation, sharing mediator costs equally.
  • If mediation fails, disputes will proceed to binding arbitration in the United Kingdom or Nigeria, in accordance with the arbitration rules of the jurisdiction where arbitration is held.
  • If arbitration is unavailable, disputes will be subject to courts in England and Wales or Nigeria, depending on jurisdiction applicability.

18. Force Majeure

Eablenex shall not be liable for delays or failure to fulfil obligations caused by circumstances beyond reasonable control, including:

  • Natural disasters (floods, earthquakes, storms).
  • Government actions, strikes, civil unrest, war, pandemics, or epidemics.
  • Supplier or logistics shortages and disruptions.

In prolonged Force Majeure events (beyond seven consecutive days), either party may terminate the affected contract or services immediately.

19. Modifications to Terms or Pricing

  • Eablenex reserves the right to modify pricing, rental fees, deposit amounts, service conditions, and these Terms with a minimum of 30 days’ notice.
  • Updates or changes will be communicated via email notifications to registered users and prominently on our website.

Continued use of our services following notified changes constitutes acceptance of the revised Terms.

20. Governing Law & Jurisdiction

Eablenex’s products and services are primarily offered within Nigeria, and these Terms are governed by Nigerian law, including the Nigerian Data Protection Regulation (NDPR), irrespective of any ancillary operations outside the country.

21. Entire Agreement & Severability

These Terms, including any referenced policies or documents, constitute the entire agreement between you and Eablenex regarding product and service usage. They supersede any prior agreements, written or oral.

If any provision is found unenforceable or invalid by competent courts, that provision shall be deemed severable and not affect the remaining provisions’ enforceability.
